Terms of Service

These Terms of Service govern your use of the Phraze website and, when it launches, the Phraze mobile app. By joining the waitlist or using the app you agree to these terms.

1. Service Description

Phraze is a phrase-learning app that teaches real expressions used by native speakers, with an AI-powered tutor that reacts to your pronunciation. The service includes phrase content, audio playback, pronunciation scoring, and AI-generated tutor feedback. Some features require a paid subscription.

2. Eligibility

You must be at least 16 years old to use Phraze. If you are between 16 and 18 and reside in an EU member state, your parent or guardian must agree to these terms on your behalf. By accepting these terms you confirm that you meet this requirement.

3. Account Creation

The Phraze app uses Sign in with Apple or Sign in with Google. No separate password is created. You are responsible for keeping your device secure. You may only hold one account. You must not share your account with others.

4. Acceptable Use

You agree not to:

• Scrape, crawl, or systematically download phrase content or audio files.
• Reverse engineer, decompile, or attempt to extract the source code of the app.
• Use the AI tutor or chat features to generate harmful, illegal, or abusive content.
• Circumvent usage limits or access controls (e.g. by creating multiple accounts to exceed free-tier limits).
• Infringe the intellectual property rights of Phraze or any third party.
• Interfere with the security or integrity of our systems.

Violation of these rules may result in immediate account termination.

5. Phrase Content and Intellectual Property

All phrase content, audio recordings of native speakers, app design, and code are owned by or licensed to [FULL NAME] (the operator of Phraze). Nothing in these terms transfers any ownership of that material to you. You receive a limited, non-exclusive, non-transferable licence to use the service for personal, non-commercial purposes.

When you record your voice during pronunciation practice, you retain ownership of that recording. You grant Phraze a limited licence to transmit the recording to our pronunciation scoring service (Microsoft Azure) for the sole purpose of generating your score. The recording is not stored or used for any other purpose.

6. Subscriptions and Payments

Phraze offers optional paid subscription tiers (Premium and Pro). Subscriptions are managed by RevenueCat, Inc. and billed via Apple App Store or Google Play. Payment terms, refund policies, and billing details are governed by your App Store or Google Play account agreement.

Right of withdrawal for digital content (§356(5) BGB): By expressly requesting immediate access to a paid subscription and acknowledging that you thereby lose your 14-day right of withdrawal under German consumer law, you waive that right at the moment paid access begins. This waiver will be confirmed at the point of purchase in the app.

Subscription prices and available tiers are displayed in the app prior to purchase. We reserve the right to change pricing with at least 30 days' notice before the change affects your existing subscription.

7. Disclaimer of Warranties

Phraze is provided "as is". We do not guarantee that the service will be uninterrupted, error-free, or that pronunciation scores will be accurate for every language or accent. AI-generated tutor responses are for entertainment and learning motivation; they are not a substitute for professional language instruction.

Nothing in this section limits any rights you have under mandatory German or EU consumer protection law that cannot be excluded by contract.

8. Limitation of Liability

To the extent permitted by applicable law, our liability for indirect or consequential losses arising from use of the service is excluded. Our total liability for direct losses in any twelve-month period is limited to the amount you paid for a subscription in that period.

These limitations do not apply to: (a) liability for death or personal injury caused by our negligence; (b) liability for fraud or fraudulent misrepresentation; (c) any other liability that cannot be limited under German or EU law.

9. Termination

You may delete your account at any time from the Profile screen in the app. Deletion immediately and permanently removes all your personal data from our systems.

We may suspend or terminate your account if you breach these terms, engage in abuse of the service, or if we are required to do so by law. We will give you reasonable notice where possible, unless the breach requires immediate action.

10. Governing Law and Jurisdiction

These terms are governed by German law. For disputes with consumers domiciled in the EU, the courts of the consumer's country of residence have jurisdiction to the extent required by applicable law. For all other disputes, the courts of [POSTAL_CITY] have jurisdiction.

11. Dispute Resolution

The European Commission operates an online dispute resolution platform for consumer disputes: https://ec.europa.eu/consumers/odr. We are not obligated to participate in arbitration proceedings before a consumer arbitration board and do not do so voluntarily. 12. Changes to These Terms

We may update these terms from time to time. We will notify you by email at least 30 days before any material change takes effect. Continued use of the service after that date constitutes acceptance of the updated terms. If you do not agree, you may delete your account before the change takes effect.
